This Publisher Agreement ("Agreement") is entered into between Allspice Labs, Inc. ("Allspice," "we," "us," or "our") and you ("Publisher," "you," or "your") in connection with your use of the Allspice Platform and Services.
1. Services
Allspice provides cooking tools and features that can be integrated into your recipe website or social media platform. These services include but are not limited to: recipe saving, grocery list management, meal planning, pantry tracking, Cook Mode, and AI cooking assistant features.
2. Publisher Responsibilities
As a Publisher, you agree to:
- Provide accurate account and domain information
- Comply with all applicable laws and regulations
- Not use the service for any illegal or unauthorized purpose
- Maintain the security of your account credentials
- Ensure your website content complies with our content policies
3. Revenue Share
Publishers may earn revenue share from ingredient shopping and premium upgrades driven by their audience. Revenue share rates and payment terms are detailed in your Publisher Portal dashboard.
4. Intellectual Property
Allspice retains all rights to the Platform and Services. Publishers retain all rights to their website content. By using the Services, you grant Allspice a limited license to display and operate the Allspice tools on your website.
5. Termination
Either party may terminate this Agreement at any time. Upon termination, access to Publisher Portal features will be discontinued, and any outstanding revenue share will be paid according to our standard payment schedule.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLSPICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Rhode Island, without regard to its conflict of law provisions.
