Ecosystem Terms of Use

These Terms govern your use of Allspice services provided on behalf of a participating publisher.

Introduction

These Allspice Ecosystem User Terms ("Terms" or "Terms of Use") are entered into by and between the eligible User accepting these Terms as set forth herein ("you" or "your"), on the one part, and Allspice Labs, Inc. ("Allspice," "we," "our" or "us"), on the other part, and govern your access to and use of the tenant-specific services that Allspice provides on behalf of the applicable participating publisher identified through the website, application, or other property on which you access such services (the "Ecosystem Publisher"). These services, including the applicable Ecosystem Account and Allspice-powered account, recipe, shopping, meal-planning, artificial intelligence, membership, content-access, commerce, entitlement, and related functionality, are referred to collectively as the "Ecosystem Services."

The Ecosystem Services are provided by Allspice on behalf of the Ecosystem Publisher and are separate from Allspice's standard consumer services. An Ecosystem Account is tenant-specific and is separate from any standard Allspice account and from any account associated with another Ecosystem Publisher. Capitalized terms used but not otherwise defined herein have the meanings set forth in Exhibit A.

These Terms govern your relationship with Allspice regarding the Ecosystem Services. Your relationship with the Ecosystem Publisher, including your purchase or use of Publisher Offerings, may also be governed by terms, policies, or disclosures provided by the Ecosystem Publisher.

READ THESE TERMS OF USE CAREFULLY, AS THEY CONTAIN TERMS AND CONDITIONS THAT IMPACT YOUR RIGHTS, OBLIGATIONS AND REMEDIES IN CONNECTION WITH YOUR USE OF THE ECOSYSTEM SERVICES INCLUDING A CLASS ACTION WAIVER UNDER SECTION 13 BELOW AND AN AGREEMENT TO ARBITRATE FOR ANY DISPUTE RESOLUTION UNDER SECTION 14 BELOW.

1. ACCEPTANCE

BY CREATING AN ECOSYSTEM ACCOUNT, ACCESSING OR USING THE ECOSYSTEM SERVICES, OR CLICKING TO ACCEPT OR AGREE TO THESE TERMS OF USE WHEN THE OPTION IS MADE AVAILABLE, THE INDIVIDUAL ACCEPTING THESE TERMS OF USE REPRESENTS AND WARRANTS THAT THE USER IS OF LEGAL AGE, AND COMPETENT TO FORM A BINDING CONTRACT WITH US, AND THAT THE USER HAS CAREFULLY REVIEWED THESE TERMS OF USE AND FULLY UNDERSTANDS THE RISKS, COSTS AND BENEFITS RELATED TO USING THE ECOSYSTEM SERVICES, AND ACCEPTS AND AGREES TO COMPLY WITH AND BE LEGALLY BOUND BY THESE TERMS OF USE IN FULL.

IF THE INDIVIDUAL ACCEPTING THESE TERMS OF USE IS DOING SO ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, THE INDIVIDUAL ACCEPTING THESE TERMS OF USE FURTHER REPRESENTS AND WARRANTS THAT SUCH INDIVIDUAL IS DULY AUTHORIZED BY THE USER TO ACCEPT THESE TERMS OF USE ON THE USER'S BEHALF AS A LEGALLY BINDING OBLIGATION.

ANY USER OR VISITOR WHO DOES NOT AGREE TO THESE TERMS OF USE IS NOT AUTHORIZED TO USE THE ECOSYSTEM SERVICES AND MUST CEASE USING THE ECOSYSTEM SERVICES IMMEDIATELY.

2. ACCESS AND USE OF THE ECOSYSTEM SERVICES

(a) Limited Access Rights. Subject to and conditioned on your acceptance of and ongoing compliance with these Terms of Use, you are hereby granted a limited, revocable, non-exclusive, nontransferable, non-assignable, non-sublicensable right to access and use the Ecosystem Services made available in connection with the applicable Ecosystem Publisher, strictly in accordance with the documentation and these Terms of Use.

Your Ecosystem Account is associated solely with the applicable Ecosystem Publisher and its Ecosystem Services. An Ecosystem Account does not provide access to a standard Allspice account, the Allspice mobile application or other standard Allspice consumer services, or an account associated with another Ecosystem Publisher. The same email address or other identifier may be associated with separate accounts, but such accounts are separate and are not automatically merged or linked.

Allspice may from time to time develop and provide updates, upgrades, bug fixes, patches, error corrections, or new features relating to the Ecosystem Services. Allspice may also modify or discontinue features or functionality, including at the request of or in connection with changes made by the Ecosystem Publisher. Except as required by applicable law, neither Allspice nor the Ecosystem Publisher is obligated to continue providing any particular feature or functionality.

(b) Access and Use Restrictions. As an express condition of your use of the Ecosystem Services, you represent and warrant to us that you shall not use the Ecosystem Services for any unlawful purpose or purpose prohibited by these Terms of Use or the laws or regulations in the jurisdiction in which you live or reside or where you may engage in any activity through, using, or otherwise in connection with the Ecosystem Services. Without limiting the foregoing, you agree that you shall not:

copy, reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to the source code of the Ecosystem Services or any part thereof;
modify, translate, adapt, or otherwise create derivative works or improvements, whether or not patentable, of the Ecosystem Services;
remove, delete, alter, or obscure any trademarks or any copyright, trademark, patent, or other intellectual property or proprietary rights notices from the Ecosystem Services, including any copy thereof;
rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make available the Ecosystem Services, or any features or functionality of the Ecosystem Services, to any third party for any reason, including by making the Ecosystem Services available on a network where it is capable of being accessed by more than one device at any time;
use any robot, spider, or other automatic device, process, or means to access the Ecosystem Services for any purpose, including monitoring or copying any of the material on the Ecosystem Services;
use any manual process to monitor or copy any of the material on the Ecosystem Services, or for any other purpose not expressly authorized in these Terms of Use, without Allspice's prior written consent;
frame, mirror, or otherwise incorporate the Ecosystem Services or any portion of the Ecosystem Services as part of any other mobile application, website, or service;
use the Ecosystem Services in any manner that could disable, overburden, damage, or impair the Ecosystem Services or interfere with any other party's use of the Ecosystem Services; or
remove, disable, circumvent, or otherwise create or implement any workaround to any copy protection, rights management, or security features in or protecting the Ecosystem Services.

Any use of the Ecosystem Services in breach of these Terms of Use may subject you to civil liability and/or criminal prosecution in addition to our discretionary exercise of our rights and remedy hereunder (which may include, without limitation, suspension and/or termination of your rights to use the Ecosystem Services). Additionally, you agree not to use the Ecosystem Services to attempt to impersonate Allspice, another User, or any other third person or entity (including, without limitation, by using email addresses or usernames associated with any of the foregoing) or misrepresent your identity or affiliation with any person or organization. If you become aware of or suspect any unauthorized use of the Ecosystem Services, please contact us at support@allspicelabs.com.

(c) Your Ecosystem Account. To access certain Ecosystem Services, you may be required to provide registration details or other information to create an Ecosystem Account. Allspice provides and administers the technical account infrastructure on behalf of the applicable Ecosystem Publisher. You agree that all information you provide in connection with your Ecosystem Account will be correct, current, and complete and that you will promptly update such information when necessary.

Information associated with your Ecosystem Account may be accessible to and used by the Ecosystem Publisher in connection with its customer relationship with you, as described in the Allspice Ecosystem Privacy Notice and the Ecosystem Publisher's own privacy policy or notice.

You are responsible for maintaining the confidentiality of your Ecosystem Account credentials. Your Ecosystem Account is nontransferable. You agree to notify us of any unauthorized access to or use of your Ecosystem Account or any other breach of security.

Allspice may disable, restrict, suspend, or terminate an Ecosystem Account where permitted by these Terms or applicable law, including in response to security or fraud concerns, violations of these Terms, termination or modification of the Ecosystem Services, or instructions received from the applicable Ecosystem Publisher in connection with the Publisher's customer relationship with you.

(d) Monitoring and Enforcement. You understand and agree that Allspice has the right to: (i) cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of any User of the Ecosystem Services; (ii) disclose your identity or other information about you to any third party who claims that you have violated their rights (including their intellectual property rights or their right to privacy) on, through, or in connection with the Ecosystem Services; (iii) terminate or suspend your access to all or part of the Ecosystem Services for any or no reason, including without limitation, any violation of these Terms of Use; (iv) take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of, or acts or omissions in connection with, the Ecosystem Services. YOU WAIVE AND HOLD HARMLESS ALLSPICE AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

Allspice may also take actions affecting your Ecosystem Account, entitlements, access permissions, memberships, or other Ecosystem Services in response to instructions from the applicable Ecosystem Publisher, provided such actions are consistent with Allspice's agreement with the Ecosystem Publisher and applicable law.

3. PUBLISHER OFFERINGS, MEMBERSHIPS, FEES, AND CANCELLATION

(a) Publisher Offerings. The Ecosystem Publisher may make products, services, digital content, meal plans, premium content, memberships, subscriptions, or other offerings available for purchase through or in connection with the Ecosystem Services ("Publisher Offerings"). The applicable Ecosystem Publisher, and not Allspice, is the seller and provider of Publisher Offerings unless expressly disclosed otherwise at the time of purchase. Allspice provides technology and related services on behalf of the Ecosystem Publisher to facilitate such transactions, which may include checkout, payment-processing integration, account and entitlement administration, digital access and fulfillment, access control, cancellations, refunds, and related support functions.

(b) Publisher Memberships. Certain Publisher Offerings may provide recurring access to content, features, benefits, or other services on a subscription basis ("Publisher Memberships"). The applicable price, billing interval, included benefits, trial period, if any, renewal terms, and other material conditions will be disclosed at or before purchase. Unless canceled in accordance with the terms presented to you, a Publisher Membership may automatically renew and your selected payment method may be charged on a recurring basis.

(c) Payment Processing and Taxes. Payments for Publisher Offerings may be processed through third-party payment processors, including Stripe, using a payment account associated with the applicable Ecosystem Publisher. By purchasing a Publisher Offering, you authorize the charges disclosed to you at checkout. Allspice may facilitate payment processing and related transaction administration on behalf of the Ecosystem Publisher. Applicable taxes and charges, if any, will be disclosed or calculated in connection with the transaction as required by applicable law.

(d) Cancellation and Refunds. You may cancel renewal of a Publisher Membership using the cancellation functionality made available through the applicable Ecosystem Account, membership-management experience, or other method disclosed to you. Cancellation of a Publisher Membership does not necessarily terminate your Ecosystem Account. Refund eligibility is determined by the terms disclosed at purchase, the applicable Ecosystem Publisher's policies, and applicable law. Allspice may administer cancellations or refunds on behalf of the Ecosystem Publisher, but except to the extent required by law or expressly stated otherwise, Allspice is not independently responsible for amounts owed by the Ecosystem Publisher to you.

(e) Complimentary or Granted Access. The Ecosystem Publisher may grant complimentary, promotional, administrative, or other access to Publisher Offerings or benefits. Such access may be subject to conditions established by the Ecosystem Publisher, may have no cash value, and may be modified or revoked by the Ecosystem Publisher except where prohibited by applicable law.

(f) Publisher Control of Offerings. The Ecosystem Publisher is responsible for the description, pricing, availability, content, benefits, quality, legality, fulfillment obligations, refund policies, and other substantive terms of its Publisher Offerings. Allspice is responsible only for the Ecosystem Services that Allspice itself provides, subject to these Terms and applicable law.

4. ADVERTISING AND THIRD-PARTY COMMERCIAL CONTENT

(a) Publisher Advertising. The Ecosystem Site and Ecosystem Services may display advertisements, sponsored content, affiliate links, shopping links, or other commercial content selected, configured, or provided by the Ecosystem Publisher or third parties. Allspice may provide technical functionality that enables or interacts with such advertising, including functionality relating to ad-free membership benefits, but does not control advertising selected or served independently by the Ecosystem Publisher or its advertising providers.

(b) Third-Party Advertisers and Services. Advertisements or commercial content may link to products, services, or websites operated by third parties. Unless expressly stated otherwise, Allspice does not endorse and is not responsible for the accuracy, availability, content, products, services, or privacy practices of such third parties.

(c) Advertising Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLSPICE IS NOT RESPONSIBLE FOR TRANSACTIONS, DISPUTES, LOSSES, OR DAMAGES ARISING FROM YOUR INTERACTIONS WITH ADVERTISERS OR OTHER COMMERCIAL SERVICES CONTROLLED BY THE ECOSYSTEM PUBLISHER OR THIRD PARTIES.

5. RELATIONSHIP WITH THE ECOSYSTEM PUBLISHER

(a) Publisher Customer Relationship. The Ecosystem Publisher determines and controls its customer relationship with you, including its content, memberships, products, benefits, pricing, eligibility requirements, marketing and communications, refund and customer-service policies, and its use of information made available to it through the Ecosystem Services. The Ecosystem Publisher is responsible for complying with applicable laws with respect to those activities.

(b) Allspice's Role. Allspice provides technology and infrastructure on behalf of the Ecosystem Publisher. Depending on the Ecosystem Services enabled by the Ecosystem Publisher, this may include account and authentication infrastructure, data storage, recipe and meal-planning functionality, artificial intelligence functionality, membership management, checkout and payment-processing integration, entitlements, access controls, customer-management functionality, analytics, and integrations with third-party services selected or configured by the Ecosystem Publisher.

(c) Publisher Policies. Your use of an Ecosystem Site and your relationship with the Ecosystem Publisher may also be subject to the Ecosystem Publisher's terms, privacy policy, refund policy, membership terms, and other disclosures. You are responsible for reviewing such terms and policies where made available.

(d) Publisher Access to Customer Information. The Ecosystem Publisher may access, retrieve, export, or otherwise receive information associated with your Ecosystem Account and your use of its Ecosystem Services, as described in the Allspice Ecosystem Privacy Notice. Allspice provides such functionality on behalf of the Ecosystem Publisher.

(e) Publisher-Controlled Systems and Integrations. The Ecosystem Publisher may direct Allspice to transmit information to systems, applications, service providers, or integrations selected by the Ecosystem Publisher. Once information has been exported, downloaded, transmitted to, or otherwise placed under the control of the Ecosystem Publisher or a provider selected by the Ecosystem Publisher, the Ecosystem Publisher is responsible for the subsequent use, storage, security, disclosure, retention, and deletion of such information, except to the extent an issue results from Allspice's own processing or is otherwise attributable to Allspice under applicable law.

(f) Publisher Instructions. Allspice may rely on and implement instructions provided by the Ecosystem Publisher regarding the operation of its Ecosystem Services, including instructions regarding customer access, entitlements, Publisher Offerings, memberships, account administration, communications, integrations, exports, and retention, subject to applicable law and Allspice's agreement with the Ecosystem Publisher.

6. USER CONTENT

(a) General. The Ecosystem Services may allow you to post, upload, save, submit, transmit, generate, or otherwise make available User Content, including profile information, preferences, saved recipes, shopping-list information, pantry information, meal plans, reviews, AI inputs and queries, and other information or materials. Information constituting personal information will be processed in accordance with the Allspice Ecosystem Privacy Notice.

(b) Use to Provide Ecosystem Services. You retain any ownership rights you may have in User Content. You grant Allspice a non-exclusive, worldwide, royalty-free right to host, store, reproduce, process, transmit, display, and otherwise use User Content solely as reasonably necessary to provide, maintain, secure, support, and troubleshoot the Ecosystem Services on behalf of the Ecosystem Publisher and otherwise as permitted by the Allspice Ecosystem Privacy Notice. User Content may also be made available to and used by the applicable Ecosystem Publisher as described in the Allspice Ecosystem Privacy Notice and the Ecosystem Publisher's own privacy policy. Nothing in this Section grants Allspice or the Ecosystem Publisher rights to process personal information beyond those permitted under applicable law and the applicable privacy notices.

(c) Enforcement Rights and Disclaimers. We may (but have no obligation to) audit and/or monitor User Content and reserve the right, at any time and without prior notice, to remove, withdraw, disable access to, or otherwise take any action with respect to any Available Content that we deem necessary or appropriate in our sole discretion, including if we believe that any User Content violates these Terms of Use, is otherwise objectionable or harmful to the Ecosystem Services and/or its Users or for any other reason, or could create liability for Allspice. You acknowledge and agree that we are not responsible or liable to you or any other User or other third party or entity for the content or accuracy of any User Content or the use thereof or reliance thereon by any User or any other third party or entity, or for its performance or nonperformance of any actions described in this Section.

7. COOKIES AND RELATED TECHNOLOGIES

The Ecosystem Services may use Cookies, tokens, and similar technologies to authenticate your Ecosystem Account, maintain a secure session, remember preferences, maintain membership and subscription status, determine entitlements and benefits, control access to gated or premium content, prevent fraud and abuse, diagnose errors, and provide analytics and other functionality.

Certain Cookies or tokens may be stored or transmitted through the applicable Ecosystem Publisher's domain as necessary to provide the Ecosystem Services on that Publisher's behalf. Such authentication is tenant-specific and does not automatically authenticate you into a standard Allspice account or an account associated with another Ecosystem Publisher.

The Ecosystem Publisher and its own service providers may separately use cookies or tracking technologies on the Ecosystem Site. Such technologies are governed by the Ecosystem Publisher's own privacy and cookie disclosures. For additional information concerning Allspice's processing through the Ecosystem Services, please see the Allspice Ecosystem Privacy Notice.

8. INTELLECTUAL PROPERTY RIGHTS; COLLECTION AND USE OF YOUR INFORMATION

(a) Ownership. You acknowledge and agree that Ecosystem Services are provided under license, and not sold, to you. You do not acquire any ownership interest in the Ecosystem Services under these Terms of Use, whether expressly, by implication, estoppel, reliance or otherwise, all of which are specifically excluded and disclaimed, or any other rights thereto other than to use the Ecosystem Services in accordance with the limited license granted, and subject to all terms, conditions, and restrictions, under these Terms of Use. Allspice and its licensors and service providers exclusively own, reserve and shall retain their entire right, title, and interest in and to the Ecosystem Services and the Allspice Properties, including, without limitation, all graphics, design, systems, methods, processes, architectures, structures, functions, information, computer code, software, services, "look and feel," organization, compilation of the content (including Ecosystem Services Content), code, data (including Aggregate Data), and all other elements of the Ecosystem Services. The Allspice Properties are protected by copyright, trade dress, trademark, patent laws, international conventions, other relevant intellectual property and proprietary rights, and applicable laws.

(b) Feedback. If you transmit any communication or material to us by mail, email, telephone, or otherwise through the Ecosystem Services, suggesting or recommending changes to the Ecosystem Services, including, without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like, we are free to use such Feedback irrespective of any other obligation or limitation between you and us governing such Feedback. All Feedback is and will be treated as non-confidential, except as provided by applicable law. You hereby assign to us all right, title, and interest in, and we are free to use, without any attribution or compensation to you or any third party, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever, although we are not required to use any Feedback. To the extent any personal data is included in connection with Feedback you provide, such personal data will be processed in accordance with the Allspice Ecosystem Privacy Notice.

(c) Aggregate and Deidentified Data. Allspice may generate information derived from use of the Ecosystem Services that has been aggregated or deidentified so that it does not identify and is not reasonably capable of being linked to an individual consumer or household ("Aggregate Data" and "Deidentified Data"). Subject to applicable law, Allspice may use Aggregate Data and Deidentified Data for analytics, benchmarking, research, product and service development, business intelligence, security, fraud prevention, performance measurement, improving Allspice technologies, and other lawful business purposes. Allspice will maintain Deidentified Data in deidentified form and will not attempt to reidentify such data except as permitted by applicable law.

(d) Personal Information. Allspice's processing of personal information through the Ecosystem Services is governed by the Allspice Ecosystem Privacy Notice. Nothing in these Terms limits any rights you may have in your personal information under applicable law.

9. TERM AND TERMINATION

These Terms apply beginning when you create an Ecosystem Account, access or use the Ecosystem Services, or otherwise accept these Terms and continue until terminated.

You may stop using the Ecosystem Services and may close your Ecosystem Account using available account-management functionality or by submitting a request through the applicable Ecosystem Publisher. Closing an Ecosystem Account is separate from canceling renewal of a Publisher Membership, and you should separately cancel any recurring Publisher Membership if you wish to stop future charges.

Allspice may suspend or terminate your access to the Ecosystem Services for violation of these Terms, security or fraud concerns, legal requirements, discontinuation of the Ecosystem Services, termination or modification of Allspice's relationship with the Ecosystem Publisher, or instructions from the Ecosystem Publisher that are consistent with its customer relationship with you and applicable law.

The Ecosystem Publisher may separately terminate, modify, or discontinue Publisher Offerings, memberships, customer benefits, or access that it controls. Allspice is not responsible for the Ecosystem Publisher's decision to do so except to the extent Allspice fails to properly perform an obligation that Allspice itself has undertaken.

Following termination, information associated with your Ecosystem Account will be handled as described in the Allspice Ecosystem Privacy Notice and the applicable Ecosystem Publisher's privacy and retention policies.

10. DISCLAIMERS

(a) NO WARRANTIES. YOUR ACCESS TO AND USE OF THE ECOSYSTEM SERVICES, ECOSYSTEM SERVICES CONTENT, AND THIRD-PARTY SERVICES IS, IN EACH CASE, AT YOUR OWN RISK. THE ECOSYSTEM SERVICES, ALL AVAILABLE ECOSYSTEM SERVICES CONTENT, AND ALL THIRD-PARTY SERVICES ARE PROVIDED "AS IS" AND WITHOUT ANY REPRESENTATION OR WARRANTY OR CONDITION OF ANY KIND BY ALLSPICE. TO THE EXTENT NOT PROHIBITED BY APPLICABLE LAW, THE ALLSPICE PARTIES DISCLAIM ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, (i) THOSE RELATED TO TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, AND NON-INFRINGEMENT, (ii) THOSE ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE, (iii) THAT THE ACCESS TO OR USE OF THE ECOSYSTEM SERVICES OR THE THIRD-PARTY SERVICES WILL BE SECURE, TIMELY, UNINTERRUPTED OR ERROR-FREE OR WILL BE COMPATIBLE OR OPERATE IN COMBINATION WITH ANY OTHER HARDWARE, SOFTWARE, SYSTEM OR DATA, and (iv) THAT THE ECOSYSTEM SERVICES OR THE THIRD-PARTY SERVICES WILL BE FREE OF HARMFUL COMPONENTS.

(b) Third-Party Services. Allspice is not responsible for any third-party platforms, Ecosystem Sites, third-party advertisements, or Third-Party Services. Allspice disclaims all liability for the accuracy, advertising claims, content, availability, or downtime of any third-party platform, Ecosystem Site, or advertisement, or other Third-Party Service, even if such third-party content is displayed within, linked from, or integrated with the Ecosystem Services. For clarity, Allspice is not responsible for the Ecosystem Publisher's independent use, disclosure, storage, retention, security, or other handling of information after such information has been exported from the Ecosystem Services or transferred to a system or provider selected and controlled by the Ecosystem Publisher, except to the extent resulting from Allspice's own acts or omissions or as otherwise required by applicable law. The Ecosystem Services Content provided by Allspice or made available in connection with the Ecosystem Services, including but not limited to recommendations for recipes and foods based on specific allergies or other specific health needs, is for informational purposes only and is not intended to be a substitute for professional medical advice. ALLSPICE EXPLICITLY DISCLAIMS ANY LIABILITY FOR ANY ADVERSE HEALTH OUTCOMES RESULTING FROM YOUR USE OF ANY ECOSYSTEM SERVICES CONTENT. AI Features are designed to assist Users with culinary planning and education, but AI Output may contain errors, inaccuracies or omissions. Please make sure to check all products (including all ingredients) prior to any purchase or use of such products. Always check product labels, consult authoritative sources, and seek professional advice for health-related decisions, including with respect to any food allergies or sensitivities. ALLSPICE DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, RELIABILITY, OR CURRENTNESS OF ANY AI OUTPUT. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ALL AI OUTPUT. INFORMATION PROVIDED FROM THESE AI FEATURES MAY NOT ALWAYS BE ACCURATE AND YOU SHOULD NOT RELY ON ANY RESULTS AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION. Part or all of the Ecosystem Services may be unavailable during any such period of Downtime, which may include an inability to access Third-Party Services, in each case, at the time you intended. THE ALLSPICE PARTIES SHALL NOT BE LIABLE OR RESPONSIBLE TO YOU FOR ANY INCONVENIENCE, LOSSES OR ANY OTHER DAMAGES AS A RESULT OF DOWNTIME, INCLUDING, WITHOUT LIMITATION, YOUR INABILITY TO ACCESS THE ECOSYSTEM SERVICES OR ENGAGE OR TRANSACT WITH ANY OTHER USER, AND/OR ENGAGE WITH ANY THIRD-PARTY SERVICES, AS A RESULT OF SUCH DOWNTIME. YOU HEREBY WAIVE ANY CLAIM AGAINST THE ALLSPICE PARTIES IN CONNECTION WITH DOWNTIME.

11. INDEMNIFICATION

TO THE MAXIMUM EXTENT NOT PROHIBITED BY APPLICABLE LAW, YOU AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS THE ALLSPICE PARTIES FROM AND AGAINST ANY AND ALL CLAIMS, COSTS, PROCEEDINGS, DEMANDS, LOSSES, DAMAGES, AND EXPENSES OF ANY KIND OR NATURE (INCLUDING, WITHOUT LIMITATION, ATTORNEY'S REASONABLY INCURRED AND LEGAL COSTS AND EXPENSES REASONABLY INCURRED) RELATING TO THIRD PARTY CLAIMS ARISING OUT OF (i) YOUR USE OR MISUSE OF THE ECOSYSTEM SERVICES OR ECOSYSTEM SERVICES CONTENT; (ii) YOUR ENGAGEMENT WITH ANY ADVERTISER OR OTHER USER; (iii) YOUR VIOLATION OF THE RIGHTS OF OR ANY OBLIGATIONS TO A THIRD PARTY; (iv) ANY THIRD-PARTY PRODUCTS PURCHASED THROUGH OR IN CONNECTION WITH THE ECOSYSTEM SERVICES OR ANY ADVERTISEMENT; (v) ANY USER CONTENT YOU SUBMIT OR MAKE AVAILABLE THROUGH THE ECOSYSTEM SERVICES; (vi) ANY FEEDBACK YOU PROVIDE TO US CONCERNING THE ECOSYSTEM SERVICES; (vii) ANY ACTUAL OR ALLEGED BREACH OF THESE TERMS OF USE BY YOU OR ANYONE USING AN ACCOUNT OF YOURS; OR (viii) YOUR ACTUAL OR ALLEGED VIOLATION OF ANY APPLICABLE LAW. NO INDEMNITEE OR ANY OTHER PERSON OR ENTITY SHALL BE ENTITLED TO ANY FORM OF EQUITABLE OR IMPLIED INDEMNIFICATION AT ANY TIME.

12. LIMITATION OF LIABILITY

NOTWITHSTANDING ANY CONTRARY PROVISION OF THESE TERMS OF USE OR FAILURE OF THE ESSENTIAL PURPOSE OF ANY REMEDY, AND TO THE FULLEST EXTENT NOT PROHIBITED BY APPLICABLE LAW, YOU AGREE AS FOLLOWS:

(a) BY USING THE ECOSYSTEM SERVICES, YOU UNDERSTAND AND AGREE THAT ANY LEGAL REMEDY OR LIABILITY THAT YOU SEEK TO OBTAIN FOR ACTIONS OR OMISSIONS OF OTHER USERS OR OTHER THIRD-PARTIES WILL BE LIMITED TO A DIRECT CLAIM AGAINST THOSE PARTICULAR USERS OR OTHER THIRD-PARTIES. YOU AGREE NOT TO ATTEMPT TO IMPOSE LIABILITY ON OR SEEK ANY LEGAL REMEDY FROM THE ALLSPICE PARTIES WITH RESPECT TO SUCH ACTIONS OR OMISSIONS. Without limiting the foregoing, claims arising from the Ecosystem Publisher's content, products, pricing, customer promises, privacy practices, marketing, communications, use of Publisher Customer Data, or systems under the Ecosystem Publisher's control should be directed to the Ecosystem Publisher, except to the extent the applicable claim arises from Allspice's own acts or omissions.

(b) IN NO EVENT WILL THE ALLSPICE PARTIES BE LIABLE FOR: (i) ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL OR SIMILAR DAMAGES OR LIABILITIES WHATSOEVER; OR (ii) ANY DAMAGES FOR LOSS OF ANY DATA, INFORMATION, REVENUE, PROFITS OR OTHER BUSINESSES OR FINANCIAL BENEFITS, IN ANY CASE WHETHER UNDER CONTRACT, TORT, NEGLIGENCE, STATUTE, STRICT LIABILITY OR OTHER THEORY EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, ARISING OUT OF OR CONNECTED WITH ACCESS OR USE OF THE ECOSYSTEM SERVICES, INCLUDING THE AI FEATURES, AND ANY CONTENT OR FUNCTIONALITY THEREOF.

(c) IN NO EVENT SHALL OUR LIABILITY TO YOU OR ANY OTHER PERSON OR ENTITY FOR ALL DAMAGES OR LIABILITIES ARISING OUT OF OR RELATED TO THE ECOSYSTEM SERVICES (INCLUDING THE AI FEATURES, AND ANY CONTENT OR FUNCTIONALITY THEREOF), DIRECTLY OR INDIRECTLY, EXCEED IN THE AGGREGATE THE GREATER OF ONE THOUSAND DOLLARS ($1,000) AND THE AMOUNT, IF ANY, ACTUALLY PAID BY YOU DIRECTLY TO ALLSPICE FOR THE ECOSYSTEM SERVICES IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY SO SOME OR ALL OF THE ABOVE LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU.

13. CLASS ACTION WAIVER

EXCEPT WHERE PROHIBITED UNDER APPLICABLE LAWS, ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THE ARBITRATION AGREEMENT IN SECTION 14 BELOW MUST BE ARBITRATED ON AN INDIVIDUAL BASIS AND NOT ON A COLLECTIVE CLASS BASIS. ONLY INDIVIDUAL RELIEF IS AVAILABLE.

14. DISPUTE RESOLUTION

(a) Arbitration. Any dispute, claim or controversy in connection with these Terms of Use, or subject matter related thereto, including, but not limited to (i) the breach, termination, enforcement, interpretation or validity of these Terms, and the determination of the scope or applicability of this agreement to arbitrate; (ii) Ecosystem Services Content or User Content; (iii) purchases made by a User in connection with the Ecosystem Services or Ecosystem Services Content, and (iv) the use of Third-Party Services, (collectively, a "dispute"), shall be determined by arbitration in Providence, Rhode Island, before one arbitrator(s). Notwithstanding the foregoing, either party may elect to pursue a dispute in small claims court rather than through arbitration if the dispute qualifies for small claims court jurisdiction in Providence County, Rhode Island; provided, however, that if the dispute is transferred, removed, or appealed to a court other than small claims court, such dispute shall be resolved by arbitration in accordance with this Section 14. The arbitration shall be administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures and in accordance with the "Expedited Procedures" in those Rules. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. All arbitrations shall be conducted and resolved on an individual basis and not a class-wide, multiple plaintiff or similar basis. No arbitration shall be consolidated with any other arbitration proceeding involving any other person or entity. Upon final judgment by the arbitrator of a dispute, any award rendered shall be binding and may be entered as a judgment in any court with appropriate jurisdiction, and the parties consent to jurisdiction therein for the purpose of such enforcement. Notwithstanding the foregoing, Allspice may seek emergency injunctive relief or other relief in any court of competent jurisdiction for your breach or threatened breach of Section 2(b) or Section 8 of these Terms of Use. This agreement to arbitrate shall be referred to as the "Arbitration Agreement."

(b) Opt-Out Right. You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision to opt out within thirty (30) days after first becoming subject to this Arbitration Agreement in accordance with the notice requirements in Section 15 below. If you opt out of this Arbitration Agreement, all other provisions of these Terms of Use will continue to apply to you.

(c) Arbitration Agreement Severability. Except as provided in this Section 14 if any part or parts of this Arbitration Agreement are found under the law to be invalid or unenforceable, then such specific part or parts shall be of no force and effect and shall be severed and the remainder of the Arbitration Agreement shall continue in full force and effect.

(d) Attorney's Fees. The prevailing party in any dispute shall be entitled to, and the non-prevailing party shall pay, the prevailing party's third-party attorneys' fees and other third-party costs reasonably incurred by the prevailing party in connection with the resolution of the dispute and in connection with the enforcement of the judgment or arbitration award in favor of the prevailing party. The non-prevailing party shall pay those fees and costs to the prevailing party upon the demand notice of the prevailing party.

15. NOTICES

Notices from one party to any other party must be in the English language and must be reasonably detailed. Notices shall be effective on the date on which the notice is delivered to the notified party's authorized email address or as published by Allspice as described herein. Until you receive notice of a different email address from us, Allspice's authorized email address for all purposes of these Terms of Use shall be the following: support@allspicelabs.com. A copy of each notice to Allspice shall be simultaneously sent to the attention of Brandon Bisbano at the following email address: brandon@allspicelabs.com. The Ecosystem Services may provide notices to you by contacting you at a current email address associated with your Ecosystem Account, by displaying the applicable notice through the Ecosystem Services, or by posting the notice on a webpage designated by Allspice for notices relating to the Ecosystem Services.

DIGITAL MILLENNIUM COPYRIGHT ACT ("DMCA") NOTICE.

If you believe that any User Content violates your copyright, then in accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512) (the "DMCA"), you should provide us with written notice containing at least the following information:

A physical or electronic signature (i.e., "/s/ (print name)") of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
Identification of the work(s) claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site and a statement of ownership of such work(s);
Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
Information reasonably sufficient to permit us to contact you, such as an address, telephone number, and, if available, an email address at which you may be contacted;
A statement that the complaining party has a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; and
Include the following statement: "I have a good faith belief that the use of the copyrighted materials described above and contained on the service is not authorized by the copyright owner, its agent or protection of law."

If you fail to comply with all of the requirements of Section 512(c)(3) of the DMCA, your DMCA notice may not be effective.

If you believe that your User Content was removed or access to it was disabled by mistake or misidentification, you may file a counter notification with us (a "Counter Notice") by submitting written notification to our copyright agent designated below. Pursuant to the DMCA, the Counter Notice must include substantially the following:

Your physical or electronic signature.
An identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access disabled.
Adequate information by which we can contact you (including your name, postal address, telephone number, and, if available, email address).
A statement under penalty of perjury by you that you have a good faith belief that the material identified above was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled.
A statement that you will consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or if you reside outside the United States for any judicial district in which the Website may be found) and that you will accept service from the person (or an agent of that person) who provided the Website with the complaint at issue.

The DMCA allows us to restore the removed content if the party filing the original DMCA Notice does not file a court action against you within ten business days of receiving the copy of your Counter Notice.

It is the policy of Allspice to terminate the user accounts of repeat infringers. Please be aware that if you knowingly materially misrepresent that material or activity on the Ecosystem Services is infringing your copyright, or was removed or disabled by mistake or misidentification, you may be held liable for damages (including costs and attorneys' fees) under Section 512(f) of the DMCA.

16. GOVERNING LAW AND JURISDICTION

These Terms of Use and all matters in connection or relating to the subject matter hereof (including the interpretation of these Terms of Use) and the Arbitration Agreement, shall be governed by and construed under the laws of Rhode Island, without giving effect to any conflict of laws rules or provisions. Subject to above Section 13 (Class Action Waiver) and Section 14 (Dispute Resolution) of these Terms of Use, each party shall and does consent and submit to the exclusive personal jurisdiction of the courts in Providence, Rhode Island for any such action.

17. MISCELLANEOUS

(a) Assignment and Delegation. We may assign our rights and delegate our obligations under these Terms of Use, in whole or in part, including in connection with a merger, acquisition, sale of assets or equity, or by operation of law. You hereby grant your prior consent in advance to such assignment and or delegation of obligations. You may not and shall not assign any of your rights or delegate any of your obligations under these Terms of Use. Any purported assignment or delegation in violation of this Section 17(a) is null and void. No assignment or delegation relieves either party of any of its obligations under these Terms of Use for any period prior to such assignment or delegation.

(b) Force Majeure. Allspice shall not be liable for a failure or delay in performing any of its obligations under these Terms of Use to the extent that such failure or delay is due to causes beyond its reasonable control, including, without limitation, the following: (i) Acts of God; (ii) flood, fire, earthquake, hurricanes or other natural disasters or catastrophes; (iii) epidemics, pandemics or other viral outbreaks; (iv) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (v) government order, law, or actions; and (vi) telecommunication breakdowns, power outages or shortages.

(c) No Waiver of Rights. The failure by us to enforce any right or provision of these Terms of Use shall not prevent any party from enforcing such right or provision in the future. No waiver by a party of any of the provisions of these Terms of Use is effective unless explicitly set forth in writing and signed by such party. No failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from these Terms of Use operates, or may be construed, as a waiver thereof. No single or partial exercise of any right, remedy, power or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.

(d) Severability. If any provision of these Terms of Use is found to be unlawful or unenforceable, then that provision shall be deemed severable from these Terms of Use and shall not affect the enforceability of any other provisions.

(e) Interpretation. The headings of the paragraphs and subparagraphs contained in these Terms of Use are included for reference purposes only, solely for the convenience of the parties, and shall not in any way be deemed to affect the meaning, interpretation or applicability of these Terms of Use or provision hereof. When the context requires, the plural shall include the singular and the singular the plural; and any gender shall include any other gender. All references to "including" or "includes" or any variation thereof shall be deemed to include the terms "without limitation". The words "hereunder," "hereof," "hereto" and words of similar import shall be deemed references to these Terms of Use as a whole. To the extent not prohibited by applicable law, these Terms of Use shall not be construed against the party who drafted these Terms of Use.

(f) Entire Agreement. These Terms of Use constitute the sole and entire agreement of the parties with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings and agreements, both written and oral, with respect to such subject matter. The Ecosystem Publisher is subject to a separate agreement with Allspice governing Allspice's provision of the Ecosystem Services to and on behalf of the Ecosystem Publisher.

(g) California Consumer Disclosure. Pursuant to California Civil Code §1789.3, California residents are also entitled to the following specific consumer rights notice:

"Complaints regarding the Website or requests to receive further information regarding use of the Website may be sent to support@allspicelabs.com or 188 Valley Street, Suite 101, Providence RI 02909. The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Boulevard, Suite N112, Sacramento, CA 95834 or by telephone at (916) 445-1245 or (800) 952-5210. Hearing impaired persons may call TDD (800)-326-2297 or TDD (916)-928-1227, see www.dca.ca.gov for additional information."

Exhibit A: DEFINITIONS

As used in these Terms of Use, the following terms have the meanings set forth below:

"Advertisements" means any advertisements, sponsored content, promotional materials, affiliate links, shopping links, product placements, or other commercial content that may be displayed on or through the Ecosystem Services.
"AI Features" means the artificial intelligence-powered functionality available through the Ecosystem Services, including but not limited to the chat feature, recipe generation, meal planning suggestions, ingredient substitution recommendations, nutrition information, and ingredient freshness estimates.
"AI Output" means any content, information, recommendations, suggestions, responses, or other output generated by the AI Features, including but not limited to recipe suggestions, meal planning recommendations, ingredient substitution recommendations, nutrition information, ingredient freshness estimates, and chat responses.
"Allspice Parties" means Allspice and its officers, employees, directors, shareholders, parents, subsidiaries, affiliates, agents, and licensors.
"Allspice Properties" means all elements of the Ecosystem Services, including, without limitation, all graphics, design, systems, methods, processes, architectures, structures, functions, information, computer code, software, services, "look and feel," organization, compilation of the content (including Ecosystem Services Content), code, data (including Aggregate Data), and all other elements of the Ecosystem Services.
"Arbitration Agreement" has the meaning set forth in Section 14(a).
"Available Content" means, collectively, User Content and Ecosystem Services Content.
"Cookies" means cookies, tokens, and other tracking technologies used by the Ecosystem Services to enhance user experience, maintain persistent login sessions across surfaces (including Publisher Sites), and to analyze performance and usage traffic related to the Ecosystem Services.
"Counter Notice" has the meaning set forth in Section 15.
"Device" means any mobile device, computer, tablet, or other internet-enabled device through which you access the Ecosystem Services.
"Downtime" means any interruptions, errors, delays, or other deficiencies in providing access to the Ecosystem Services or a Third-Party Service due to a variety of factors, including scheduled maintenance or unscheduled downtime of the Ecosystem Services.
"Feedback" means any communication or material transmitted to Allspice by mail, email, telephone, or otherwise through the Ecosystem Services, suggesting or recommending changes to the Ecosystem Services, including, without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like.
"Ecosystem Services Content" means any text, graphics, images, music, software, audio, video, information, or other materials that is made available on or through the Ecosystem Services directly by or on behalf of Allspice, excluding User Content and Aggregate Data.
"Third-Party Service(s)" means third-party content, applications, websites, products, services, advertisements, shopping or delivery services, integrations, or other third-party functionality that may be displayed, linked, included, made available through, or integrated with the Ecosystem Services, including services selected or configured by the Ecosystem Publisher. Third-Party Services do not include functionality provided directly by Allspice as part of the Ecosystem Services.
"Updates" means updates to the Ecosystem Services developed and provided by Allspice from time to time in its sole discretion, which may include upgrades, bug fixes, patches, other error corrections, and/or new features, including related documentation.
"User" or "Users" means any individual or entity that accesses or uses the Ecosystem Services.
"User Content" means text, graphics, images, music, software, audio, video, information, or other materials that you post, upload, publish, submit, or transmit on or through the Ecosystem Services, including but not limited to profile information, preferences, reviews, shopping list information, chat inputs and queries, and other information or materials that you choose to provide or otherwise make available on, through, or in connection with the Ecosystem Services.
"Aggregate Data" means information relating to a group or category of users from which individual identities have been removed and that is not linked or reasonably linkable to an individual user or household.
"Deidentified Data" means information that cannot reasonably be used to infer information about, or otherwise be linked to, an identified or identifiable individual, subject to the safeguards described in Section 8(c).
"Ecosystem Account" means the tenant-specific account created to access the Ecosystem Services associated with a particular Ecosystem Publisher.
"Ecosystem Privacy Notice" means the Allspice Ecosystem Privacy Notice applicable to the Ecosystem Services.
"Ecosystem Publisher" means the participating publisher, business, creator, or other entity on whose behalf Allspice provides the applicable Ecosystem Services.
"Ecosystem Services" means the tenant-specific functionality and services Allspice provides on behalf of an Ecosystem Publisher, which may include account, authentication, recipe, shopping, pantry, meal-planning, artificial intelligence, membership, commerce, entitlement, content-access, customer-management, analytics, and related functionality.
"Ecosystem Site" means a website, application, or other property operated by or on behalf of an Ecosystem Publisher through which the Ecosystem Services are made available.
"Publisher Customer Data" means personal information associated with an Ecosystem Account or generated through a user's interaction with the Ecosystem Services for a particular Ecosystem Publisher, but does not include information associated solely with a separate standard Allspice account or another Ecosystem Publisher's tenant.
"Publisher Membership" means a recurring Publisher Offering providing access to content, benefits, features, or services.
"Publisher Offering" means any product, service, digital content, meal plan, premium content, membership, subscription, or other offering sold or provided by the Ecosystem Publisher through or in connection with the Ecosystem Services.
